Terms and Conditions :

	TERMS AND CONDITIONS OF THE MAINTENANCE AGREEMENT

MAINTENANCE AGREENT between Xsis Alert, 220, IInd Floor, Ellisbridge Shopping Centre, Opp. Town Hall, Ahmedabad. (hereinafter called "The Company" which term includes its successors and assigns) of the one part AND the party who has signed the agreement overleaf (hereinafter called "The Customer" which terms includes its/his heirs, successors and assigns) of the other part.

1. The Company in consideration of the type of Maintenance Contract for by The Customer and for the corresponding amount mentioned overleaf to be payable in advance agrees to cary out the maintenance of the Customer's equipment, and keep then in good operating condition as per the terms and conditions mentioned below.  Pertaining to the type of the maintenance contract, for a period as agreed overleaf, by both the parties mutually.

2. The equipment mentioned overleaf is in good operating condition on the date of execution of this agreement.

3. A)	Visits will be provided for any breakdown call to the installations during the validity period of the agreement.

b) The contract amount payable excludes any taxes and/or government levies as or may be applicable later, due to operation of or under any existing or new law.

4. All the spares required for the maintenance of the equipment covered under the maintenance agreement with The Company will be supplied as per the terms and conditions as per clause. 4(a) The Customer has opted as per availability on a first come first server basis.

a) This contract covers free replacement of all parts except battery. Any parts replaced shall be serviceable quality. All parts which have been removed shall become the property of the Company, and it's authorised service engineer shall be entitled to remove and carry away such parts the Customer's premises. The parts not covered under the scope of this contract are mentioned below.

5. The Company undertakes to make the best efforts to carry out its obligations under the terms of this agreement, as speedily as possible, but will not be responsible for any loss, costs or expenses arising directly or indirectly from any delay in so doing.

6. The effect of this agreement will stand nullified, in case the equipment is shifted from the original place of installation the right of property is transferred, the equipment is misused, dismantled, altered or attachments fitted or serviced by anybody other than the Company's Authorised Service Engineer without the express consent in writing from the Company.

7. This agreement will be renewed after the expiry of the warranty period or the expiry of the current Maintenance Contract. The Company may terminate this agreement at any time by giving one month prior notice in writing in which event, the Company will refund to the Customer pro-data charges paid in excess of the period covered.

This agreement will get automatically terminated on the last day of the contract period, unless otherwise renewed.

The Company reserves the right to stop of suspend services to The Customers for the maintenance of the equipment of supply of spares and consumables, with prior written notices if the Customers does not make payments towards pending bills, within stipulated period as mentioned in the terms and conditions of the invoices.

8.	In case of any dispute of difference arising at any time between the parties in respect of this agreement the same shall be resolved in accordance with subject to the provisions of the Indian arbitration Act 1940, and only the Courts at Ahmedabad shall have jurisdiction in all arising out of connected with agreement.
